In accordance with these terms and conditions (the "Terms and Conditions"), the VTech Toy Giveaway (the “Giveaway”) is open to all individuals, 18 years of age or older as of the date of entry, who: a) legally reside in the United States; b) have a verifiable email and valid mailing address; and c) purchase a Baby Monitor (“Eligible Purchase”) from vtechphones.com between 12:01am PT on 12 Dec, 2016 and 11:59pm PT on 31 Dec, 2020 (the “Giveaway Period”). In the event VTech Communications, Inc. (“VTech”) has additional Gifts (as defined below) when the Giveaway Period ends, VTech may extend the Giveaway Period until such time as it has distributed one hundred (100) Gifts. In the event an Eligible Purchase has different billing and shipping addresses, the recipient of the Gift (as defined below) shall be the name listed on the shipping address. All employees, licensees, and consultants of VTech or any of its affiliates, subsidiaries, members of their immediate families, or those with whom they are domiciled, are ineligible to participate. In addition, anyone living in a state where the Giveaway is prohibited is ineligible to participate.
2. How to Enter
Customer will automatically generate an entry into the Giveaway upon the completion and submission of an Eligible Purchase at vtechphones.com during the Giveaway Period.
3. Gift
The recipient of the Eligible Purchase will receive, one (1) gift, Glowing Lullabies Elephant™, estimated retail value of $14.99 (the “Gift”). The Gift will be included in the package containing the Eligible Purchase. For each Eligible Purchase, we will ship to one destination only within the United States. Regardless of how many Eligible Purchases are made in an online transaction at vtechphones.com, each Gift recipient will receive one (1) Gift only per shipment. For example, if a customer purchases two (2) baby monitors in a single online transaction at vtechphones.com during the Giveaway Period, such customer would receive one (1) Gift only. The entrant’s use of the Gift shall be governed by the terms and conditions accompanying the Gift.
4. Legal Considerations
The recipient of an Eligible Purchase, and not VTech, is solely responsible for all arrangements, costs and expenses associated with receiving the Gift, including without limitation, any taxes or other fees. All entrants agree that completing and submitting an Eligible Purchase constitutes agreement to these Terms and Conditions.
5. Indemnification and Disclaimer
Each entrant agrees to indemnify, defend and hold harmless VTech and its affiliates, subsidiaries, officers, directors, representatives, agents, licensees, and employees from any and all liability whatsoever for any injuries, losses, or damages of any kind arising from or in connection with, either directly or indirectly: (1) the entrant's breach of any representation or warranty contained herein, (2) awarding, acceptance, receipt, possession, use, and/or misuse of any Gift awarded herein; or (3) participation in the Giveaway. VTech is not responsible for inaccurate entry of information including, but not limited to, technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software or any combination thereof, entry materials that have been tampered with, or entries that are illegible, late, lost, damaged, postage due, or misdirected.
6. Amendments; Termination
VTech reserves the right to cancel, terminate, modify, or suspend this Giveaway for any reason, including but not limited to, fraud, technical failures, or any other causes beyond the control of VTech that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Giveaway.
7. Governing Law
This Giveaway shall be interpreted and governed by the laws of the State of Oregon, except its choice of law rules, and any applicable laws and regulations of the United States. The entrant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Giveaway, shall be resolved individually, without resort to any form of class action, exclusively, before a state or federal court located in Washington County, Oregon or in Multnomah County, Oregon having competent jurisdiction, which Court shall apply the laws of the State of Oregon without regard to any principles of conflicts of laws, and submission of said entry constitutes acceptance of such laws. The entrant further agrees that no claims, judgments or awards shall exceed the value of the Gift and under no circumstances shall include attorney's fees; nor shall any entrant be permitted to obtain awards for punitive, incidental, consequential, or other similar damages or have any damage awards multiplied or increased for any reason.
